Agreement to Terms
By accessing or using The Checkout Agency's website and services, you agree to be bound by these Terms of Service. If you do not agree to these terms, please do not use our services.
Services
The Checkout Agency provides custom Shopify checkout development services for Shopify Plus merchants. Our services include but are not limited to:
- Checkout UI Extensions development
- Checkout branding and customization
- Shopify Functions development
- Payment and delivery customization
- Post-purchase experience development
Specific deliverables, timelines, and pricing are defined in individual project agreements.
Client Responsibilities
When engaging our services, you agree to:
- Provide accurate and complete information about your project requirements
- Grant necessary access to your Shopify Plus store for development purposes
- Respond to requests for information or approval in a timely manner
- Ensure you have the authority to engage our services on behalf of your organization
- Pay for services as agreed in your project contract
Intellectual Property
Upon full payment, clients receive ownership of custom code developed specifically for their project. We retain the right to:
- Use general techniques, knowledge, and experience gained during the project
- Reuse non-client-specific code libraries and components
- Reference the project in our portfolio (unless otherwise agreed)
All content on our website, including text, graphics, logos, and code examples, is owned by The Checkout Agency and protected by intellectual property laws.
Confidentiality
We treat all client information as confidential. We will not disclose your business information, store data, or project details to third parties without your consent, except as required by law.
Limitation of Liability
To the maximum extent permitted by law, The Checkout Agency shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, or business opportunities.
Our total liability for any claim arising from our services shall not exceed the amount paid by you for the specific service giving rise to the claim.
Warranties and Disclaimers
We strive to deliver high-quality work and will address any bugs or issues in deliverables within a reasonable warranty period as specified in your project agreement.
Our website and its content are provided "as is" without warranties of any kind. We do not guarantee that our website will be available at all times or free from errors.
Third-Party Services
Our services integrate with Shopify and other third-party platforms. We are not responsible for changes to third-party APIs, services, or policies that may affect your checkout customizations. We will make reasonable efforts to update our work to accommodate significant platform changes.
Termination
Either party may terminate a project engagement as specified in the project agreement. Upon termination, you will be responsible for payment for all work completed up to the termination date.
Changes to Terms
We reserve the right to modify these terms at any time. Continued use of our website or services after changes constitutes acceptance of the updated terms.
Governing Law
These terms shall be governed by and construed in accordance with applicable laws. Any disputes shall be resolved through good-faith negotiation or, if necessary, through appropriate legal channels.
